Column Syndication Agreement

This Column Syndication Agreement (this "Agreement") is by and between __________________ ("Columnist") and the undersigned publisher ("Publisher").

WHEREAS, Columnist regularly produces a column entitled "_____________" on the subject of ___________ (the "Column").

WHEREAS, Publisher owns and operates newspaper or media properties and wishes to publish in print the column provided by Columnist from time to time in its publications.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Definitions.

(a) "Licensed Content" means the columns supplied to Publisher pursuant to Section 3 below.

(b) "License" means the non-exclusive, non-transferable right of Publisher, pursuant to the terms of this Agreement, to place and publish the Licensed Content in the Publisher Publications.

(c) "Publisher Publications" means those publications of Publisher listed in Exhibit A.

(d) "Term" is defined in Section 7 hereof.

2. License. Subject to the terms of this Agreement, Columnist hereby grants to Publisher the License during the Term. Columnist retains all other right to the Licensed Content, and retains all copyright, right, title and interest to the Licensed Content. Columnist retains all rights to separately license, sell, sublicense, market and promote any or all of the Licensed Content.

3. Print Content. Columnist will provide Licensed Content from time to time to Publisher for publication in the Publisher Publications. Publisher may not make any modifications or additions to the Licensed Content without....
